Diligence Submission Certification
Good-faith certification provided immediately before submitting diligence materials to a requesting firm.
This Diligence Submission Certification (the “Certification”) applies when an authorized representative of a company submits an initial diligence response, follow-up response, or materially revised submission through Lunaseed to a specific venture capital or investment firm. It records the submitting person’s authority and the good-faith assurances that accompany the materials being submitted.
IMPORTANT: This Certification is intentionally limited. The submitting person confirms authority, good-faith accuracy, material completeness, and absence of intentional deception. It does not require the Company to guarantee that every statement, estimate, third-party record, or automatically captured data point is error-free or that future results will match historical information or projections.
1. Materials Covered by This Certification
This Certification applies to the materials included in, linked to, or expressly submitted through the final submission action to which this Certification is attached. Depending on the diligence request and the Company’s selections, those materials may include:
- documents uploaded or selected from the Company’s Lunaseed workspace or vault
- information provided by authorized Company contributors
- data or evidence derived from Company-authorized integrations and snapshots
- Company-entered answers, explanations, notes, and follow-up responses
- Fact Sheets, Carter outputs, Investigation materials, or other Lunaseed-generated diligence work product that the Company elects or is permitted to submit
- founder-verification status or other verification information only to the extent separately authorized under the applicable Founder Verification Disclosure & Authorization and permitted by the verification provider and applicable law
The Certification does not automatically extend to information that remains private in the Company workspace and has not been included in the submission being made.
2. Authority to Submit
The submitting person certifies that they are authorized by the Company to make the submission and to provide or authorize access to the materials included in it. The submitting person also certifies, to the best of their knowledge, that the Company has the right or permission necessary to provide the submitted materials for the applicable diligence purpose.
Where a document or dataset includes information concerning employees, customers, counterparties, founders, or other third parties, this Certification does not create rights the Company does not otherwise have. The Company remains responsible for ensuring that its disclosure of such information is lawful and authorized.
3. Good-Faith Accuracy and Material Completeness
To the best of the submitting person’s knowledge after reasonable review, the submitted information is accurate in all material respects as of the time of submission, is not intentionally misleading, and does not knowingly omit information in a manner that would make the submitted information materially misleading in the context of the diligence request.
“Material” means information that a reasonable investment professional could consider important in evaluating the Company or the specific diligence topic. This Certification is not a representation that every immaterial detail is complete or that information from third-party systems, public records, integrations, advisors, or other sources is free from error.
4. Estimates, Forecasts, and Forward-Looking Information
If the submission includes projections, budgets, forecasts, plans, pipeline estimates, market assumptions, or other forward-looking information, those materials reflect estimates or assumptions as of the relevant date and are inherently uncertain. The submitting person does not certify that future events or performance will occur as projected.
Nothing in this Certification converts forward-looking information into a warranty, guarantee, or promise of future results.
5. Integration-Derived Information
Information captured from connected systems may reflect the source system, selected historical window, provider API, and snapshot time applicable to the connection. The submitting person certifies that the underlying system was connected with proper authority and that the Company is not knowingly submitting integration-derived information that it knows to be materially inaccurate or misleading.
The submitting person is not required to independently recalculate or manually verify every raw system record, API field, or machine-generated extraction solely because it appears in a Lunaseed snapshot or derived output.
6. Contributor-Provided Materials
Authorized contributors may upload or prepare information within the Company workspace. By submitting those materials to the Requesting Firm, the submitting person confirms that the Company has authorized their inclusion in the submission. The Company remains responsible for reviewing contributor-provided information to the extent reasonably appropriate before submission.
Contributor access or participation does not itself authorize a contributor to make the Company’s final certification unless Lunaseed has expressly granted that contributor submission authority for the relevant engagement.
7. Corrections and Changes After Submission
If the Company later discovers that submitted information was materially inaccurate, materially incomplete, or materially misleading when submitted, or becomes materially outdated during an active diligence engagement, the Company should use the available Lunaseed workflow to correct, supplement, or replace the affected information as reasonably practicable.
A correction, follow-up response, or material resubmission may create a new submission record and require a new Certification. Earlier submission versions and associated audit records may remain preserved to maintain the integrity and traceability of the diligence record.
8. Requesting Firm Reliance and Independent Review
The Requesting Firm may use the submitted materials for its own diligence and investment evaluation, subject to the applicable Lunaseed agreements and permissions. The Requesting Firm remains responsible for its own analysis, verification, professional advice, and investment decisions.
Lunaseed does not certify the truth of Company-submitted information, does not independently audit every submission, and does not become a guarantor of the Company’s statements by hosting, structuring, extracting, summarizing, or transmitting them.
9. Relationship to Other Lunaseed Agreements
This Certification works together with the Lunaseed Terms of Service, Privacy Policy, Diligence Data Sharing Authorization, Integration Data Access Authorization, Founder Verification Disclosure & Authorization where applicable, and any other agreement governing the relevant engagement. It does not expand the scope of a separate authorization beyond the permissions granted in that authorization.
If the Company is subject to a separate written agreement with Lunaseed that expressly addresses submission certifications and conflicts with this Certification, the separately negotiated written agreement controls to the extent of the conflict.
10. Electronic Acceptance and Audit Record
Lunaseed may present this Certification electronically when the submitting person selects the final submission control. By checking the acceptance box or selecting the corresponding submission button, the submitting person adopts this Certification electronically and confirms the statements above for the submission being made.
Lunaseed may retain an audit record including the submitting user’s identifier, Company, Requesting Firm, engagement, submission identifier, Certification version, date and time, IP address or device information, and related event metadata. The audit record may be retained as necessary for platform integrity, security, contractual administration, legal compliance, audit, or dispute resolution.

The following acceptance language is intended for the final submission popup shown immediately before the Company sends the applicable diligence response to the Requesting Firm:

To the best of my knowledge after reasonable review, the information included in this submission is accurate in all material respects, materially complete for the request presented, and not intentionally misleading. I understand that estimates and forward-looking information are not guarantees of future results.
